Arondight Vanguard is powered by Shopify, which enables us to provide the Services to you. However, Arondight Vanguard, and not Shopify, is responsible for the information, services, communications, and business activities offered by Arondight Vanguard through the Services.

To the extent permitted by applicable law, you acknowledge that Shopify is not responsible for services provided directly by Arondight Vanguard or for any separate client relationship or agreement between you and Arondight Vanguard.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ARONDIGHT VANGUARD AND ITS AFFILIATES, PARTNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR ACCESS TO OR USE OF THE SERVICES, INCLUDING LOSS OF PROFITS, REVENUE, SAVINGS, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

Any limitations of liability applicable to professional services provided by Arondight Vanguard may also be addressed separately in the written agreement governing that engagement.

SECTION 14 - INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Arondight Vanguard, Shopify, and our respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from third-party claims, liabilities, damages, losses, and reasonable legal fees arising from your material breach of these Terms, your unlawful use of the Services, or your violation of the rights of a third party.

We will provide reasonable notice of an indemnifiable claim when practicable. You agree to reasonably cooperate in the defense of such claims.

SECTION 15 - SEVERABILITY

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision will be enforceable to the fullest extent permitted by applicable law, and any unenforceable portion will be deemed severed from these Terms.

Such determination will not affect the validity and enforceability of the remaining provisions.

Our failure to exercise or enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

These Terms, together with the Privacy Policy and other policies expressly incorporated by reference, constitute the agreement between you and us regarding your access to and use of this website and supersede prior communications regarding such use.

These Terms do not supersede or replace a separate written agreement entered into between Arondight Vanguard and a client for professional services. If a separate written agreement applies to a professional engagement, that agreement will govern the engagement according to its terms.

SECTION 17 - ASSIGNMENT

You may not transfer or assign your rights or obligations under these Terms without our prior written consent where such consent is permitted to be required by applicable law.

We may assign or transfer these Terms and our rights and obligations in connection with a merger, acquisition, reorganization, sale of assets, or other business transaction, subject to applicable law.

SECTION 18 - GOVERNING LAW

These Terms of Service and your use of the Services shall be governed by and construed in accordance with the laws applicable in the jurisdiction where Arondight Vanguard is headquartered, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any disputes concerning these Terms or use of the Services shall be subject to the jurisdiction of the courts having proper authority in that jurisdiction, subject to applicable law.
